Terms of Service

Effective Date: 9/14/2026 Last Updated: 9/14/2026

These Terms of Service (“Terms”) govern your access to and use of revvdup.xyz (the “Site”) and any consulting, advisory, or related services offered by REVVd Up (“REVVd Up,” “we,” “us,” or “our”), operated by Lionshield Capital, LLC . By accessing the Site or engaging our services, you (“you” or “Client”) agree to be bound by these Terms. If you do not agree, do not use the Site or our services.

1. Overview of Services

REVVd Up provides fractional go-to-market (GTM) and sales leadership consulting, including but not limited to strategic advisory, sales process design, enablement content, and related services (“Services”). The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate written proposal, statement of work, or engagement agreement (“Engagement Agreement”) between REVVd Up and the Client. Where these Terms conflict with an executed Engagement Agreement, the Engagement Agreement controls for that engagement.

The Site itself provides general information about REVVd Up, our methodology, and content (including material related to The GTM Engine and the OOBE Method), and allows visitors to request consultations or subscribe to updates.

2. Eligibility

By using the Site or engaging our Services, you represent that you are at least 18 years old and are authorized to act on behalf of the business or organization you represent, if applicable.

3. Engagements and Fees

  • Consulting engagements begin only upon mutual execution of an Engagement Agreement (or equivalent written confirmation, including email agreement to a proposal) specifying scope, fees, and payment terms.
  • Fees are due as set out in the applicable Engagement Agreement. Unless otherwise stated, invoices are due within 15 days of receipt.
  • Late payments may accrue interest or result in suspension of Services, as specified in the Engagement Agreement.
  • Engagements may be structured as retainer-based, project-based, or fractional/ongoing arrangements, as agreed in writing.

4. Client Responsibilities

To enable effective delivery of Services, Client agrees to:

  • Provide timely, accurate information reasonably requested by REVVd Up;
  • Designate a point of contact with authority to make decisions related to the engagement;
  • Provide access to relevant systems, data, or personnel as reasonably required and agreed;
  • Review and provide feedback on deliverables within a reasonable time.

Delays caused by Client’s failure to meet these responsibilities may affect timelines and are not the responsibility of REVVd Up.

5. Intellectual Property

5.1 Our Materials

The Site, our methodology (including The GTM Engine framework and the OOBE Method), templates, frameworks, and any pre-existing materials we use in delivering Services (“REVVd Up Materials”) are and remain the property of REVVd Up. Nothing in these Terms transfers ownership of REVVd Up Materials to Client. We grant Client a limited, non-exclusive, non-transferable license to use REVVd Up Materials solely for Client’s internal business purposes as contemplated by the engagement, unless otherwise agreed in writing.

5.2 Client Data and Deliverables

Client retains ownership of its own business information, data, and materials provided to us (“Client Data”). Work product created specifically for Client under an Engagement Agreement and paid in full (“Deliverables”) is owned by Client upon full payment, excluding any REVVd Up Materials incorporated into the Deliverables, which remain licensed as described in Section 5.1.

5.3 Site Content

All content on the Site, including text, graphics, logos, and design, is owned by REVVd Up or its licensors and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written consent, except for normal personal, non-commercial use (e.g., reading, sharing a link).

6. Confidentiality

Each party agrees to protect the other party’s confidential information disclosed during the engagement using at least the same degree of care it uses for its own confidential information, and not to disclose it to third parties except as necessary to perform the Services or as required by law. This obligation survives termination of an engagement.

7. Disclaimers

  • The Site and general content are provided “as is” without warranties of any kind, express or implied.
  • Consulting Services are advisory in nature. REVVd Up does not guarantee specific business outcomes, revenue results, or performance metrics resulting from our recommendations, and Client remains responsible for its own business decisions and execution.
  • We make no warranty that the Site will be uninterrupted, error-free, or secure.

8. Limitation of Liability

To the maximum extent permitted by law, REVVd Up and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Site or our Services. Our total aggregate liability for any claim arising from an engagement will not exceed the total fees paid by Client to REVVd Up for the specific engagement giving rise to the claim in the 12 months preceding the claim.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless REVVd Up from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, breach of these Terms, or violation of any law or third-party right.

10. Termination

Either party may terminate an ongoing engagement as specified in the applicable Engagement Agreement, typically with written notice. Sections relating to intellectual property, confidentiality, payment obligations for work performed, disclaimers, and limitation of liability survive termination.

We may also suspend or terminate your access to the Site at our discretion if we reasonably believe you have violated these Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any disputes arising from these Terms or an engagement will be resolved in the state or federal courts located in Travis County, Texas, and you consent to jurisdiction there, unless the applicable Engagement Agreement specifies an alternative dispute resolution process (e.g., mediation or arbitration).

12. Changes to These Terms

We may update these Terms from time to time. We will post the revised version on this page with an updated “Last Updated” date. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms. Changes to an active Engagement Agreement require mutual written agreement.

13. General Provisions

  • Entire Agreement: These Terms, together with any applicable Engagement Agreement, constitute the entire agreement between you and REVVd Up regarding the Site and Services, superseding prior agreements on the same subject.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
  • No Waiver: Our failure to enforce any provision does not waive our right to do so later.
  • Assignment: You may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
